How to open an I.I. (individual enterprise)

A practical overview for founders choosing an individual enterprise.

What is an I.I.?

An I.I. (individual enterprise) is a business registered by one individual. It can be simple to start, but the owner may have broader personal responsibility for business obligations than with an S.R.L.

Typical steps

  1. Choose a business name and planned activities.
  2. Prepare the founder identity documents and registration application.
  3. Register the I.I. with the Public Services Agency or an authorized provider.
  4. Receive the registration documents and fiscal code.
  5. Open a bank account if needed for marketplace settlements.
  6. Arrange accounting, tax reporting and an electronic signature if needed.
  7. Check whether any license, permit or VAT registration is required for your products.

Costs to expect

An I.I. is often cheaper to open than a company, but costs still may include state registration fees, accounting, bank fees, electronic signature and permits for regulated goods. There is usually no share capital requirement like in company structures.

Taxes

An I.I. may pay income tax on taxable income and may have social and medical contribution obligations. VAT can apply if the business registers voluntarily or exceeds the legal threshold. General reference rates often mentioned are 12% income tax and 20% standard VAT, but your exact treatment depends on activity, turnover and current law.

Good fit

An I.I. can be a practical option for small sellers with simple ownership. If you plan to add partners, hire staff, limit liability or raise investment, ask a professional whether an S.R.L. is more suitable.
